Terms and Conditions

These Terms and Conditions ("Terms") govern the services provided by The Apprenticeship Partner Ltd ("We", "Us", "Our") and set out the basis on which we conduct business with our clients ("You", "Your"). By engaging with us, you agree to these Terms.

1. General Terms

1.1 All services provided by The Apprenticeship Partner Ltd are subject to these Terms.
1.2 Copyright and intellectual property rights for all materials, content, and deliverables created by us remain our property unless expressly agreed otherwise in writing.

2. Contracts 

2.1 A contract outlining the scope of services, payment terms, and responsibilities will be sent for review and acceptance before any services commence.

2.2 Work will not commence until the contract is signed and returned.

3. Payment Terms

3.1 Payments must be made in accordance with the schedule outlined in the contract or invoice.
3.2 Payment can be made via electronic funds transfer (EFT), BACS, or other methods agreed upon in advance.
3.3 Final deliverables, services, or access to resources will not be released until full payment is received, unless otherwise agreed in writing.

4. Late Payments

4.1 Payments not received within 14 days of the invoice date will incur a late fee of 5%, with an additional 5% applied for each subsequent 14-day period.
4.2 Returned or failed payments will incur a fee of £100. Persistent non-payment may result in suspension of services and referral to a third-party debt recovery agency.

5. Intellectual Property and Licensing

5.1 Any materials created by us are licensed for your use only and may not be modified, reused, or redistributed without our prior written consent.
5.2 We are not liable for any claims, damages, or losses arising from the unauthorised use of designs or materials.

6. Client Responsibilities

6.1 You agree to cooperate with The Apprenticeship Partner Ltd by providing accurate, complete, and timely information and feedback related to the services you have purchased.
6.2 We will not be held responsible for any delays or failures caused by incomplete, inaccurate, or late delivery of required information from you.

7. Service Delivery and Deadlines

7.1 Service timelines are estimates and may be subject to change due to unforeseen circumstances or factors beyond our control.
7.2 While we will make every effort to meet agreed deadlines, we cannot accept liability for delays caused by external factors, such as third-party providers or unforeseen events.

8. Limitation of Liability

8.1 We are not liable for:

  • Loss of profits, revenue, data, or goodwill arising from our services.

  • Delays, interruptions, or errors caused by third-party providers or circumstances beyond our control.

8.2 Our total liability for any claims is limited to the fees paid by you for the specific service in question.

9. Third-Party Services

9.1 We may engage third-party providers to deliver certain aspects of our services.
9.2 While we carefully select and vet these providers, we are not responsible for their performance, quality, or reliability.

10. Privacy and Data Protection

10.1 Your use of our services is governed by our Privacy Policy.
10.2 You agree to provide accurate personal information and ensure that it is kept up-to-date to enable us to deliver our services effectively.

11. Confidentiality

11.1 Both parties agree to treat all information shared during the course of the project as confidential.
11.2 Neither party may disclose confidential information without prior written consent, except where required by law or regulation.

12. Amendments to Terms

12.1 We reserve the right to update or amend these Terms at any time.
12.2 Updated Terms will be posted on our website, and continued use of our services after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law

13.1 These Terms are governed by and construed in accordance with the laws of England and Wales.
13.2 Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
